These Terms govern use of Lumora Path services and the lnorapath.biz website. By engaging our services or using the site, you agree to these Terms. They set out rights, responsibilities, payment obligations, and dispute procedures related to our corporate legal offerings in Singapore.

Eligibility

To use Lumora Path services you must be a legally capable individual representing an enterprise, or an authorized corporate representative. Acceptance of these Terms indicates you have authority to bind the company you represent.

Users must be at least 18 years old or the legal age of majority in their jurisdiction to enter into contracts and receive professional legal services.

Services must be used for lawful purposes. You must not submit information or requests that are fraudulent, infringing, illegal, or that facilitate illegal activities.

Provision of specific legal services may be subject to local licensing and cross-border restrictions. Lumora Path operates from Singapore and any cross-border engagements will comply with applicable Singapore law and relevant local regulations.

Scope of services

Lumora Path provides corporate legal advisory, contract drafting and review, compliance assessments, corporate governance support, and transaction support tailored to enterprise clients. The precise scope is defined in engagement letters and service agreements.

We may modify service features or discontinue offerings with reasonable notice. Significant changes will be communicated to affected clients and documented in updated engagement terms.

Service availability may vary based on resource allocation, regulatory requirements, and client scheduling. We make reasonable efforts to meet agreed timelines but cannot guarantee uninterrupted availability.

Client-submitted content

Clients may provide documents, data, and instructions necessary for legal services. This content enables us to deliver accurate and practical advice tailored to your needs.

You retain ownership of documents and materials you submit, subject to any third-party rights. Lumora Path will process these materials only as needed to deliver the agreed services.

By submitting materials, you grant Lumora Path a non-exclusive, limited license to use, copy, and process the content solely for providing the contracted services and for internal quality and compliance reviews.

Clients are responsible for the accuracy and completeness of submitted information. Lumora Path will rely on provided materials and may request clarifications where necessary for professional diligence.

Upon termination of services, Lumora Path will retain client files as required by law and professional obligations. Requests for return or deletion will be handled in accordance with applicable retention policies and legal requirements.

Paid services

Certain Lumora Path services require payment as set out in engagement letters or service schedules. Fees reflect the complexity, expertise, and resources required to support enterprise legal needs.

Pricing is determined by scope, staff seniority, and estimated time. Fee estimates and fixed-price proposals will be provided where appropriate. All fees are in Singapore dollars (SGD) unless otherwise stated.

Payments are due according to invoicing terms in the engagement letter. Accepted payment methods will be specified on invoices and on lnorapath.biz. Late payments may incur administrative charges as disclosed in the engagement terms.

Subscription or retainer arrangements are available for ongoing advisory services. Specific billing cycles, renewal terms, and service-level expectations are defined in the subscription agreement.

Refunds, if applicable, will be assessed based on services rendered and work completed. Any refund terms will be described in the engagement agreement and applied consistently.

Clients may terminate engagements as set out in their contract. Termination may result in final invoicing for services performed up to the termination date and reasonable wind-down costs.

Clients are responsible for any taxes applicable to fees charged by Lumora Path. Invoices will indicate taxes where required by law.

Lumora Path may adjust prices for new engagements or upon contract renewal. Clients will be notified in advance of material pricing changes affecting ongoing services.

Failure to pay may result in suspension of services and collection actions. Lumora Path may charge interest or recovery costs in accordance with contractual terms and applicable law.

Professional disclaimer

Information provided by Lumora Path on lnorapath.biz or in preliminary consultations is for general informational purposes and does not constitute tailored legal advice until an engagement is confirmed. Specific legal outcomes depend on factual circumstances and applicable law.

Third-party services

Where Lumora Path uses external vendors or partners to support services, we will exercise due care in selection and oversight. Third-party providers may have separate terms and Lumora Path is not liable for their independent acts or omissions beyond agreed oversight.

Privacy and data protection

Our privacy practices are set out in the Lumora Path Privacy Policy at lnorapath.biz/privacy. That policy explains how we collect, use, disclose, and retain personal and corporate data in the course of providing legal services.

Changes to terms

Lumora Path may revise these Terms. Updated Terms will be posted on lnorapath.biz with an effective date. Continued use of services after changes indicates acceptance of the revised Terms for ongoing engagements.

Dispute resolution

Disputes arising from these Terms or our services will first be addressed through good faith negotiation. If unresolved, disputes may be submitted to mediation or, where applicable, the courts of Singapore in accordance with the engagement agreement.

Client accounts

Access credentials issued for client portals or secure communications must be kept confidential. Accounts facilitate secure platform of documents and case updates.

Clients must ensure account information is accurate and up to date. Incorrect details may delay service delivery or compliance-related matters.

You are responsible for safeguarding login credentials. Notify Lumora Path immediately of any suspected unauthorized access so we can take protective measures.

Accounts and access rights are personal to the authorized user and may not be transferred without prior written consent from Lumora Path.

If you suspect unauthorized access, inform us immediately via the contact channels on lnorapath.biz. We will work to secure the account and advise on next steps.

Lumora Path may suspend account access for security reasons, non-payment, or suspected misuse. Clients will be informed and given steps to restore access where feasible.

Platform rules and acceptable use

To maintain a professional environment, users must comply with the following rules when interacting with Lumora Path services and representatives.

  • Use the platform and communications for lawful and professional purposes only.
  • Do not transmit malicious software, phishing content, or unauthorized marketing materials.
  • Respect confidentiality obligations and do not share privileged information beyond authorized parties.
  • Provide accurate and complete information necessary for proper legal counsel.
  • Refrain from harassment, discrimination, or abusive communications with Lumora Path personnel.
  • Comply with request procedures for data access, rectification, or deletion in accordance with our privacy policy.

Intellectual property

All content on lnorapath.biz and materials provided by Lumora Path, including templates, guides, and proprietary processes, are the intellectual property of Lumora Path unless otherwise licensed. Clients receive limited rights to use materials provided as part of their engagement.

  • Do not reproduce Lumora Path proprietary content for distribution beyond your organization without written consent.
  • Do not reverse engineer, copy, or create derivative works from Lumora Path proprietary tools or processes.
  • Respect third-party intellectual property rights and ensure submitted materials do not infringe others' rights.

Limitation of liability

To the extent permitted by law, Lumora Path’s liability for professional services is limited to direct losses arising from proven negligence and limited by applicable professional rules. We are not liable for indirect, incidental, or consequential losses except where law requires otherwise.

Termination

Either party may terminate an engagement in accordance with the termination provisions set out in the engagement letter. Immediate termination may occur for material breaches or where continued performance is prohibited by law.

On termination, outstanding fees and expenses become due. Lumora Path will return or securely archive client materials as required and retain copies as necessary to meet legal and professional retention obligations.

Communications and notices

Official notices under these Terms should be sent to the addresses provided in the engagement letter or to Lumora Path’s registered office. Routine communications may be conducted by secure email or portal messages as agreed with the client.

Governing law

These Terms and any disputes arising from them are governed by the laws of Singapore. Parties agree that the courts of Singapore have non-exclusive jurisdiction unless the engagement agreement specifies otherwise.
